LICENSE AGREEMENT

Welcome to Change, the centralized hub for agencies’ network growth and efficiency. Change is a platform operated by Ubooker Worldwide Ltd, designed to facilitate seamless bookings between Clients/Brands and Talent Management Companies/Talent Agencies. By using Change, you agree to comply with these Terms and Conditions, which govern your access and use of the platform.
Please read these Terms and Conditions carefully. By accessing, browsing, or otherwise using Change, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not accept these Terms and Conditions, you may not access or use Change.

1. DEFINITIONS
1.1 “Change” – The digital platform owned and operated by Ubooker, facilitating bookings and interactions between Clients/Brands and Talent Management Companies/Talent Agencies.

1.2 “Client/Brand” – Businesses or individuals seeking to book talent through Talent Agencies via Change.
1.3 “Talent Management Company/Talent Agency” – Entities that represent talent and use Change to facilitate bookings.
1.4 “Talent/Creative” – Individuals represented by Talent Agencies and booked via Change.
1.5 “User” – Any person or entity accessing or using Change.
1.6 “Agreement” – These Terms and Conditions and any related policies incorporated herein.

2. ACCEPTANCE OF TERMS AND CONDITIONS
2.1 Users must accept these Terms and Conditions when registering for Change.
2.2 Change may update these Terms at any time, and Users will be notified of significant changes.
2.3 Continued use of Change after updates constitutes acceptance of the revised Terms and Conditions.
2.4 Users must be at least eighteen (18) years old to create an account.

3. ACCOUNT REGISTRATION AND ELIGIBILITY
3.1 Users must register an account to access Change’s features.
3.2 Clients/Brands and Talent Agencies must provide accurate, up-to-date information during registration.
3.3 Change reserves the right to verify any information provided and suspend or terminate accounts if fraudulent or inaccurate information is detected.
3.4 Users must comply with Change’s policies and all applicable regulations.

4. PLATFORM USE AND SERVICES
4.1 For Clients/Brands:
4.1.1 Clients/Brands may browse, book, and manage talent engagements through Change.
4.1.2 Payments for Change’s monthly subscription must be processed via Change’s designated payment providers.
4.1.3 Payments for talent services shall be paid directly to the Talent Agency representing the talent, according to the agreed commercial terms and upon receipt of invoices.
4.1.4 Clients/Brands must adhere to all agreed-upon booking terms with Talent Agencies.
4.1.5 Clients/Brands are responsible for ensuring compliance with local tax and legal regulations when booking talent.
4.2 For Talent Management Companies/Talent Agencies:
4.2.1 Talent Agencies may list and manage their talent profiles within Change.
4.2.2 Agencies are responsible for ensuring that talent listed on Change has granted them permission for representation.
4.2.3 Talent Agencies must fulfill bookings as agreed with Clients/Brands.
4.2.4 Change is not responsible for any disputes between Talent Agencies and their represented talent.
4.2.5 Talent Agencies must comply with all regulatory and tax obligations applicable to their services.

5. FEES AND PAYMENTS
5.1 Change charges a subscription fee to Talent Agencies and Clients/Brands after the agreed trial period.
5.2 All payments must be processed through Change’s designated payment providers.
5.3 Change reserves the right to modify fees with prior notice.
5.4 Late payments may incur additional charges.
5.5 Users are responsible for any applicable taxes related to their transactions.

6. CANCELLATIONS AND REFUNDS
6.1 Cancellation policies may vary depending on individual agreements between Clients/Brands and Talent Agencies.
6.2 Refunds, if applicable, will be subject to Change’s discretion based on the terms of the booking.
6.3 Change does not interfere in booking cancellations, which are solely managed between Talent Agencies and Clients/Brands.
6.4 Talent Agencies are responsible for ensuring talent availability once a booking is confirmed.
6.5 If a Talent Agency cancels a booking after confirmation, penalties may apply.

7. INTELLECTUAL PROPERTY
7.1 All content provided by Change, including trademarks, logos, and platform functionalities, remains the intellectual property of Ubooker.
7.2 Users may not copy, modify, distribute, or exploit any part of Change without prior written consent.
7.3 Talent Agencies retain ownership of talent portfolios and all data uploaded to Change but grant Change a license to display and market such content.

8. CONFIDENTIALITY AND DATA PROTECTION
8.1 Change will process user data in compliance with applicable data protection laws.
8.2 Users agree not to disclose any confidential information obtained through Change to third parties.
8.3 Please refer to our Privacy Policy for details on how user data is collected, stored, and used.
8.4 Users are responsible for safeguarding their login credentials and confidential business information.

9. LIABILITY AND INDEMNIFICATION
9.1 Change acts as an intermediary and is not responsible for the performance or conduct of Clients/Brands or Talent Agencies.
9.2 Users agree to indemnify and hold harmless Change, its owners, and employees from any claims or damages arising from their use of the platform.
9.3 Change is not liable for any indirect, incidental, or consequential damages.
9.4 Talent Agencies agree to indemnify Change against claims related to talent bookings or disputes with Clients/Brands.

10. DISPUTE RESOLUTION
10.1 Change does not intervene in dispute resolutions between users.
10.2 Any disputes between a User and Change must first be addressed through written communication with Change’s support team.
10.3 If no resolution is reached, disputes shall be subject to arbitration under the jurisdiction of England and Wales.
10.4 Users agree to abide by Change’s arbitration process for resolving disputes.

11. TERMINATION
11.1 Change reserves the right to terminate or suspend any User’s account for violations of these Terms and Conditions.
11.2 Users may terminate their accounts at any time by contacting Change’s support team.
11.3 Termination does not absolve Users of any outstanding obligations, including pending payments or unresolved disputes.

12. AMENDMENTS
12.1 Change may update these Terms and Conditions from time to time. Users will be notified of significant changes.
12.2 Continued use of Change after updates constitutes acceptance of the revised Terms and Conditions.
12.3 Users are encouraged to review the Terms periodically to remain informed of any changes.

13. GOVERNING LAW
13.1 These Terms and Conditions are governed by the laws of England and Wales.
13.2 Any disputes not resolved through arbitration will be handled under the governing law and jurisdiction of Change’s registered location.
